1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Biz50StartUp's website, platform, and services (collectively, the "Service"), operated by BRS Software Solutions LLC, DBA Biz50Startup ("we," "us," or "our"). B Roland Sharp LLC is the founding investor that provided the initial capital — including income from the founder's DoorDash and handyman services — to launch and fund BRS Software Solutions. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

Biz50StartUp provides:

• Business formation guidance and resources for all 50 U.S. states, including an interactive state-by-state cost comparison map
• AI-powered business planning, advisory, and autonomous agent tools
• CRM and marketing automation tools
• Network services subscriptions (VPN, eSIM, and home internet connectivity)
• Educational content, a business university, and community resources
• Professional service connections (tax, legal, financial)
• Voluntary donation and fundraising features to support the platform's mission

3. User Accounts

3.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to update your information to maintain its accuracy.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

4. Subscription and Payment Terms

4.1 Subscription Plans

We offer multiple subscription tiers (Newcomer, Professional, and Enterprise) with varying features and pricing, starting at $99 per month. Current pricing is available on our Pricing page.

4.2 Payment

Subscriptions are billed monthly or annually in advance. Payment processing is handled securely through Stripe. By providing payment information, you authorize us to charge the applicable fees.

4.3 Cancellation and Refunds

You may cancel your subscription at any time; cancellations take effect at the end of the current billing period. All subscription payments are non-refundable, and we do not offer refunds or credits for partially used billing periods ("no refunds; cancel anytime"). Donations and voluntary contributions made through the platform are also non-refundable.

4.4 Payment Pass Credit-Building Program

Biz50Startup offers prepaid Payment Passes (for example, a 3-month Quarterly Pass or a 12-month Annual Pass) that may be paid in full or, where you qualify, split into installments through a third-party buy-now-pay-later provider such as Afterpay, or paid directly by Cash App or debit. Installment plans are offered, approved, and serviced solely by the third-party provider under its own terms; Biz50Startup is not the lender, does not perform the credit decision, and receives your payment upfront. Third-party installment limits apply (Afterpay's U.S. per-order limit is generally around $2,000) and eligibility is determined by the provider at checkout, not by us.

If you enroll your business in our credit-reporting service, Biz50Startup may report your business account and payment history on your Payment Pass and related services to participating business credit bureaus (such as Dun & Bradstreet, Experian Business, and Equifax Business) in your business's name and under its EIN. Reporting is tied to your business entity, not to your personal consumer credit file, and we do not report to consumer credit bureaus. On-time payments may help establish a business credit profile; late, missed, reversed, or charged-back payments may also be reported and may harm that profile. Bureau acceptance, tradeline creation, scoring, and timing are controlled by each bureau. We make no guarantee of any specific score, tradeline, approval, funding outcome, or timeframe, and we cannot promise that any lender, bank, or third party will extend credit to you.

Completion of a Payment Pass term in good standing may make you eligible to be considered for extended terms (for example, moving from 3-month to 12-month terms) or for referral to a third-party or white-label financing partner. Eligibility is discretionary, is not an offer or pre-approval of credit, and any such financing is subject to the separate application, underwriting, and terms of the third-party provider.

Payment Passes are prepaid and non-refundable, including unused time if you cancel or if we terminate your account for violation of these Terms. Direct Cash App payments are processed outside our checkout; you must include your account email in the payment note so we can identify and activate your plan, and activation may take up to 24 hours after we confirm receipt. Nothing in this section is legal, tax, credit-repair, or financial advice.

5. Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Use the Service for any illegal or fraudulent purpose
• Harass, abuse, or harm other users
• Scrape or harvest data without permission

6. Intellectual Property

6.1 Our Content

All content, features, and functionality of the Service, including text, graphics, logos, and software, are owned by BRS Software Solutions LLC and protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of content you submit to the Service. By submitting content, you grant us a license to use, modify, and display it solely to provide the Service.

7. AI-Generated Content

Our Service uses AI to generate business plans, legal documents, and other content. AI-generated content is provided "as-is" without warranties. You should review and verify all AI-generated content with qualified professionals before use.

8. Professional Services Disclaimer

Biz50StartUp provides information and tools but does not provide legal, tax, or financial advice. You should consult with licensed professionals for advice specific to your situation. Any professional services are provided by independent third-party partners, not by Biz50StartUp.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRS SOFTWARE SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Indemnification

You agree to indemnify and hold harmless BRS Software Solutions LLC from any claims, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that violates these Terms or is harmful to other users or our business.

14. Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ohio.
